Healthy Habit LLC Terms & Conditions for Catering Services

1. Introduction

These terms and conditions ("Terms") govern the catering services ("Services") provided by Healthy Habit LLC ("Company") in collaboration with local restaurants ("Restaurants") and independent drivers ("Drivers"). By utilizing our Services, you ("Client" and "Restaurant") agree to these Terms.

2. Service Details

Healthy Habit LLC partners with local restaurants to offer nutritious and delicious meals using organic, locally sourced ingredients. The service includes:

• A weekly menu with at least three meal options, focusing on artificial-free and minimally processed ingredients. Versions are available for vegan, vegetarian, and carnivore diets.
• Meals are provided as platters for a minimum of 10 individuals to save preparation time and reduce packaging material. Meat options can be booked separately for vegan and vegetarian meals.
• Dietary requests, such as placing onions or peppers on the side, can be accommodated.

3. Client Obligations

• Clients must provide dietary requests and preferences in advance to ensure proper accommodation.
• Clients are responsible for choosing a delivery time frame using a form provided by Healthy Habit LLC.
• Clients agree to a minimum order of 10 portions per delivery to ensure efficient service.

4. Restaurant Obligations

• Restaurants must use high-quality, fresh, and organic ingredients sourced locally whenever possible.
• Restaurants must adhere to health and safety standards as prescribed by local regulations and Healthy Habit LLC’s guidelines.
• Restaurants will create and regularly update menu options in collaboration with Healthy Habit LLC.
• Restaurants will accommodate simple dietary requests.

5. Company Obligations

• Healthy Habit LLC will provide detailed specifications for each catering order, including dietary preferences, portion sizes, and delivery instructions.
• The Company will handle client payments through a created paylink, allowing the Restaurant to receive payment directly from the Client.
• Healthy Habit LLC will coordinate and dispatch Drivers for the delivery time frames.

6. Pricing and Payment

• Pricing for catering services is based on menu selections, portion sizes, and any additional services provided.
• The Restaurant will receive payment directly from the Client through the paylink provided by Healthy Habit LLC.
• Clients will be charged an administrative service fee of $10 per week ($2 of which supports the Freebird Fund for homeless individuals). Alternatively, Clients can opt for a "Heha Community Pass" at $15 per month ($60 for 6 months / $100 for 12 months), which waives the administrative service fee.
• The Restaurant is responsible for paying the driving fee to the delivery driver as agreed.
• The agreed-upon payment to Healthy Habit LLC is $0.50 per meal/portion.
• The driving fee for the delivery driver is $2 per meal/portion.
• The rest of the earnings will be the Restaurant's profit.

7. Liability and Insurance

• Restaurants are responsible for maintaining appropriate insurance coverage, including liability insurance, to cover any claims arising from the catering services.
• Healthy Habit LLC is not liable for any issues arising from the food preparation or delivery once it has been handed over by the Restaurant.
• In the event of any accident, injury, or other unforeseen circumstance, Healthy Habit LLC will assist in coordinating communication between the Client, Restaurant, and Driver but will not be held liable for any damages or losses incurred.

8. Confidentiality and Privacy

• Both parties agree to protect the confidentiality of any proprietary or sensitive information shared during the term of this contract.
• Client information provided by Healthy Habit LLC to the Restaurant for catering purposes will not be disclosed to third parties.

9. Termination Clause

• This partnership is binding quarterly and includes a minimum of one order per week to ensure flawless coordination of Drivers during the requested time frame. Either party may terminate the contract with 4 weeks' written notice.
• In case of a breach of contract or failure to comply with the terms, the non-breaching party may terminate the contract immediately without notice.
• If the Restaurant cancels the service within 36 hours of the scheduled event, the Restaurant will be responsible for any additional costs incurred by Healthy Habit LLC to secure alternative catering services.

10. Dispute Resolution Any disputes arising from this contract will be resolved through mediation or arbitration in accordance with local jurisdiction.

11. Miscellaneous

• These terms constitute the entire agreement between Healthy Habit LLC and the Client/Restaurant and supersede all prior agreements. Modifications to the terms must be in writing and signed by both parties.
• A fee of up to $30 will be charged if delivery and/or Driver must be rescheduled due to a change of time frame/date, or cancellation.
• The delivery range is a maximum of 25 miles from the Restaurant.
• This service supports local businesses, organic and unprocessed food collaborations, and a better meal per driver ratio.
• Earnings from Healthy Habit LLC support homeless individuals through the Freebird Fund.
• The focus is on a life-giving and vitalizing, healing menu for better concentration and overall well-being.

12. Force Majeure Neither party shall be liable for any failure or delay in performing their obligations under these Terms if such failure or delay is caused by circumstances beyond their reasonable control, including but not limited to natural disasters, war, pandemic, or any other unforeseen events.
