Liability Disclaimer As a third-party delivery and marketing platform, HEHA Online (Healthy Habit LLC) does not assume liability for food preparation, foodborne illness, allergies, or restaurant performance. Clients and vendors are responsible for verifying all ingredient and preparation concerns directly with each other.

12. Business Structure & Limitations HEHA Online operates as a registered LLC in Florida and currently does not carry commercial liability insurance or delivery vehicle coverage. By using our services, clients and partners acknowledge this limitation and agree to hold HEHA harmless for issues beyond direct operational control.

13. Updates to This Policy This Privacy Policy may be revised periodically. Updated versions will be posted on our site with a revised effective date. Continued use of our services indicates acceptance of changes.

1. Introduction
These terms and conditions ("Terms") govern the meal delivery services ("Services") provided by Healthy Habit LLC ("Company") in collaboration with local restaurants ("Restaurants") and independent drivers ("Drivers"). By utilizing our Services, you ("Client" and/or "Restaurant") agree to these Terms.

2. Service Details
Healthy Habit LLC partners with local restaurants to offer nutritious, organic meals, snacks, and beverages with minimal processing and no artificial ingredients. Like traditional delivery apps, menu items are shown on our website and can be pre-ordered. After receiving an order, HEHA coordinates with restaurants and dispatches a driver to pick up and deliver the food. All deliveries require a minimum of two days’ advance notice. The service includes:

• A curated menu of meal options, customizable for vegan, vegetarian, and carnivore diets.
• Orders are available for individuals or groups and do not require platters.
• Basic dietary requests (e.g., onions/peppers on the side) can be accommodated when possible.
• Deliveries are available within a 15-mile radius. For distances beyond 15 miles, an additional $1.25 per extra mile will be applied to the total order. (Note: this rate may be adjusted in future terms.)

3. Client Obligations

• Clients must submit accurate delivery addresses and preferences.
• While we recommend a minimum of 10 portions per meal delivery for efficiency and value, this is not mandatory. For best value, clients are encouraged to order 15–20 portions, as the shipping fee remains fixed until free or reduced delivery thresholds are met. Minimum order quantities for snacks and beverages may differ and will be communicated separately.

4. Restaurant Obligations

• Use fresh, organic, and locally sourced ingredients where possible.
• Adhere to all local health and food safety regulations.
• Provide consistent menu items and update availability as needed.
• Honor simple dietary preferences.

5. Company Obligations

• Provide order details to Restaurants including preferences, portion sizes, and instructions.
• Manage client payments through custom paylinks.
• Coordinate and dispatch Drivers based on the scheduled time frame.

6. Pricing and Payment

• Pricing is based on meal selection, portion size, and any added services.
• Restaurants are paid in full by Healthy Habit LLC via preferred transaction methods (ACH recommended for efficiency and reduced fees).
• Clients are not charged a weekly administrative fee. Instead, they may voluntarily enroll in the HEHA Community Pass, which costs $15/month, $60 for 6 months, or $100 for 12 months. The Community Pass provides:
  
  • $8 savings per order
  • 1% ACH transaction fee eligibility
  • Earned HEHA Rewards ($0.15 per portion + bonus)
  • Support for the Freebird Fund ($1/month, $10/6 months, or $40/12 months from HEHA profits)
• Without a Community Pass, clients typically pay around $15/portion* plus a community (shipping) fee of $12.50 per order (if under $300 subtotal), or $0 for orders over $300. For non-members, fees range up to $30 depending on order volume. *Example prices. Tax and transaction fees apply.

  • $1.75/portion to cover Driver pay (minimum $17.50, capped at $60 per delivery)
• These fees are part of the total price shown at checkout.
• The Restaurant receives 100% of their agreed wholesale price (excluding tax), and is not charged for delivery services.

7. Liability and Insurance

• Restaurants must maintain their own food safety and liability insurance.
• HEHA is not liable for any food quality or delivery issues once meals are picked up.
• Drivers are independent contractors. HEHA is not responsible for delays or issues caused by Drivers but will help coordinate resolutions if needed.

8. Confidentiality and Privacy

• All parties agree to safeguard sensitive and proprietary information.
• Client data may only be used for service fulfillment and cannot be shared with third parties.

9. Termination Clause

• Either party may terminate service with 4 weeks' notice.
• Immediate termination applies for any material breach.
• Cancellations within 36 hours of delivery may result in cost reimbursement to HEHA.

10. Dispute Resolution

• Disputes will be settled via mediation or arbitration under local laws.

11. Miscellaneous

• These Terms are the entire agreement unless modified in writing.
• Changes must be mutually agreed upon and signed.
• Last-minute cancellations or time/date changes may incur a $30 fee.
• Deliveries are limited to a 15-mile radius. For any additional distance, a rate of $1.25 per extra mile is applied. This rate accounts for round-trip driver expenses and may be subject to change as fuel prices and delivery logistics fluctuate.
• This service empowers local restaurants, encourages healing foods, and supports driver efficiency.
• 20% of HEHA profits fund the Freebird Fund, helping individuals transition from homelessness to van living.

12. Force Majeure
Neither party is liable for failure to fulfill obligations due to uncontrollable events (e.g., natural disasters, pandemics, war).
